Terms and Conditions of Service

THIS AGREEMENT is made between:

(1)  SONYA POWER of Coaching Results (the "Coach"); and

(2)  THE CLIENT (the "Client") who is paying for coaching services.

BACKGROUND

(A)  The role of the Coach is to use their skills and experience to inspire and support the Client through and in respect of defined objectives through Coaching. Particular attention is drawn to Schedule 1

​

(B)  This Agreement outlines certain responsibilities of the Coach and Client in order to maximise the benefit of the Sessions.

​

(C)  The Client acknowledges that they should provide information to the Coach that allows the programme and the Sessions to be tailored to benefit their specific objectives. The Client understands Coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.

​

(D)  The Coach encourages the Client to discuss any clause of this Agreement which feels inconsistent or inappropriate to the Client. If anything in this Agreement is unclear, the Client is urged to seek independent advice to ensure that the Client fully understands their rights and obligations.

​

(E)  The Coach encourages the Client to give constructive feedback on a periodic basis in order to enhance the effectiveness of the Sessions.

1.Definitions

"Coaching" - Coaching is a partnership (defined as an alliance, not a legal business partnership) between the Coach and the Client intended to support an inspirational process that will maximise the Client's personal capabilities and provide support in respect of defined objectives. Such a partnership is contemplated in this Agreement and the Schedules hereto.

"Services" - Those Coaching methods (including the Sessions) which the Coach chooses, tailored to fit the objectives of the Client, using their own professional knowledge and experience and as further provided in this Agreement and in particular in Schedules 1 and 2 hereto.

​

"Sessions" - The name attributed to the physical meetings between the Coach and the Client during which Coaching takes place.

2. Services

2.1 The Client appoints the Coach to provide the Services as detailed in Schedule 1 within the coaching and ethical framework as detailed in Schedule 2

​

3. Terms

3.1 Coaching Sessions shall be 30, 50, 60 or 90 minutes in length, as agreed between the Coach and the Client.  The Client agrees to the fees, payment terms, scheduling protocols and cancellation terms outlined in Schedule 3, including:

(a) fee rates for Sessions;

(b) payment terms;

(c) framework for making reservations; and

(d) cancellation policy.

4. Confidentiality

4.1 All communications between Client and Coach within Sessions (or otherwise) will be strictly confidential except with respect to:

(a)any use or disclosure authorised by the Client, or as required by law or court order;

(b)any use or disclosure which the Coach (in their reasonable discretion) considers necessary or advisable in order to prevent illegal acts or harm to the Client or to others;

(c)any information which is already in, or comes into, the public domain otherwise than through the Coach's unauthorized disclosure;

(d)where a Client files a complaint or lawsuit against them, the Coach may disclose relevant information regarding that Client in order to properly respond to the complaint; and/or

(e)where it is necessary for the Coach to seek collection of unpaid fees provided for under this Agreement.

4.2 The Client may disclose to third parties such information about the sessions as he wishes. Subject to any intellectual property rights asserted under this Agreement.

​

4.3 GDPR and records retention - the Client acknowledges that the Coach will maintain minimal client details as to be able to provide coaching services and will not share any client data held with 3rd parties. Such client records will be maintained by the Coach in a format of the Coach's choice (print or digital/electronic) for as long as the client is actively engaging or a period of up to 2 years.]

4.4 The Client hereby agrees that topics may be anonymously and hypothetically shared by the Coach with other coaching professionals for training, supervision, mentoring, evaluation, and for professional development and/or consultation purposes.

​

5. Limitation of Liability

5.1 Whilst the Coach will use all reasonable endeavours to support the Client under this Agreement and within the contemplated coaching framework, the Coach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the Client’s objectives and/or outcomes, nor the Services negotiated, agreed upon and rendered.

5.2 The Coach's total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of this Agreement and the provision of the Services shall, in all circumstances, be limited to the aggregate fees paid by the Client for the Sessions.

​

5.3 Nothing in this clause shall limit the Coach's liability for death or personal injury caused by the Coach's negligence or fraud or for any matter for which liability cannot be legally excluded or limited.

6. Boundaries

6.1 The Coach is responsible for setting, communicating and maintaining clear, appropriate and culturally sensitive boundaries that govern all interactions with the Client.

​

7. Conflict of Interest and Dispute Resolution

7.1 The Coach will not exploit a Client or seek to gain any inappropriate financial or non-financial advantage from the relationship.

​

7.2 To avoid any conflict of interest, the Coach will distinguish a professional relationship with a Client from other forms of relationships.

​

7.3 The Coach will be aware of the potential for conflicts of interest of either a commercial or personal nature arising through the working relationship and address them quickly and effectively in order to ensure that there is no detriment to the Client.

​

7.4 The Coach will consider the impact of any Client relationships on other Client relationships and discuss any potential conflict of interest with those who might be affected.

​

7.5 The Coach will disclose any conflict openly with the Client and agree to withdraw from the relationship if a conflict arises which cannot be managed effectively.

​

8. Termination

8.1 The Agreement will terminate automatically three months after the last arranged and attended Session or otherwise as mutually agreed between the parties.

​

8.2 Clauses 3 (Terms), 4 (Confidentiality), 5 (Limitation of Liability), 9 (Entire Agreement) and 10 (Governing Law) and corresponding Schedules will survive termination of this Agreement.

9. Entire Agreement

9.1 This Coaching Agreement comprises the whole agreement between the parties concerning the subject matter hereof and replaces any prior agreement, arrangement or understanding regarding the subject matter hereof.

​

9.2 This Agreement shall be binding upon the parties hereto and shall not be capable of assignment.

​

10. Governing Law and LCIA

10.1 This Agreement shall be governed and construed in accordance with the laws of England and Wales whose courts (subject to clause 10.2) shall have exclusive jurisdiction.

​

10.2 Any dispute out of or in connection with this Agreement, including any question regarding its existence, validity or termination shall be referred to and finally resolved by arbitration under the LCIA Rules which rules are deemed to be incorporated by reference into this clause.

The number of arbitrators shall be 1, the seat, or legal place, of arbitration shall be London. The language to be used in arbitral proceedings shall be English and the governing law of the Agreement shall, as noted in clause 10.1, be the laws of England and Wales.

Schedule 1

Coaching Services

1. Generalised Coaching Services

1.1 Sessions will be held online via Zoom, Face Time or Skype. The structure and format of the individual Sessions will vary from client to client and shall be agreed at the outset.  At the initial Session, the Coach and the Client will develop a mutual understanding of the goals of the Coaching and settle the goals. New goals and directions will evolve over further Sessions. Clients typically start at different stages and therefore have different skills, strengths, support, systems and goals and therefore the Sessions will develop in this context on an ad-hoc basis over the programme. The Client will have plans and opportunities to work on certain areas and tasks between Sessions to help them to move towards their goals.

1.2 Recording of Sessions may be undertaken with the agreement of the Coach and the Client.

​

1.3 The Coach intends to provide the Client with personalized and tailored support that involves the Client in a process of identifying and building on their strengths. This should be achieved in a safe, stimulating environment where obstacles are identified and ideally addressed that may inhibit the reaching of maximum potential. The Coach will use a variety of tools in their practice including values clarification, brainstorming, identifying plans of action, and examining modes of operating. The Coach may, from time to time, use powerful and challenging questions to bring out Client driven strategies and solutions.

1.4 The Client understands and acknowledges that Coaching does not involve the diagnosis or treatment of mental disorders nor is it a substitute for professional advice by legal, medical, financial, business, spiritual or other qualified professionals. In addition, Coaching is not a substitute for any form of medically prescribed or specialised services (including psychotherapy, counselling, psychology services, therapy or analysis). The Client agrees to be fully responsible for his or her physical, mental and emotional well-being, including the consequences of their choices, decisions and actions.

1.5 The Coach will occasionally provide materials to assist the Client in maximizing results. The Coach retains copyright of (and intellectual property in) all of these documents, as appropriate, at all times and they are not to be copied, distributed or shared with anyone, under any circumstances.

Schedule 2

Coaching Framework and ethics

The Coach is a member of the Association for Coaching. The website for the membership body can be found at www.associationforcoaching.com.

​

The Association for Coaching is a signatory to The Global Code of Ethics for Coaches, Mentors and Supervisors.

​

The Association for Coaching is committed to maintaining and promoting excellent practice in coaching and related fields. Therefore, the Coach, as a member, agrees to use reasonable endeavours to adhere to the elements and principles of the Code of Ethics (without any legal obligation on their part).

​

The Code is a guidance document rather than a legally binding one, that in detail spells out what a member can and cannot do. The Code sets the expectation of best practice in coaching, mentoring and supervision promoting the development of professional excellence. Its purpose is to:

  • Provide appropriate guidelines, accountability and standards of conduct

  • Set-out how members are expected to act, behave and perform when working with clients

  • In conjunction with the Association for Coaching, guide members development and growth in the profession

  • Serve as a guide for those individuals who do not necessarily identify themselves as a professional coach or mentor, but nonetheless use coaching or mentoring skills in their work

  • Be used as the basis of any complaint or disciplinary hearing and action following the complaints procedures of the Association for Coaching

  • The code may be found at www.globalcodeofethics.org and is arranged into five sections:

    • Terminology

    • Working with clients

    • Professional conduct

    • Excellent practice

    • Signatures to the Global Code of Ethics

Schedule 3

Terms

1. Rates

​

Individual sessions:

£60 per 30-minute Career Development Session

£100 per 50-minute Career Development Session

£180 per 60-minute CV Review and Feedback Session

£250 per 90-minute mock interview and feedback session

 

Packages:

£540 per block of six (6) 50-minute Career Development Sessions

£300 interview preparation including:

one (1) x 30-minute session to identify focus areas

one (1) x 90-minute mock interview and feedback session

one (1) x 30-minute session to build confidence / share hints and tips

2. Session reservations to be made via the online booking calendar or at a time mutually agreed by e-mail.

Coaching packages must be used within 3 months after the first Session, or they will lapse. No refund will be offered for lapsed Sessions.

​

3. Payment to be made online at point of purchase and always at least 48 hours in advance of the first coaching session

​

4. Cancellation: payment in full shall be due for all cancellations within 48 hours before the relevant Session, whatever the cause.  Sessions cancelled ahead of 48 hours may be rebooked at a mutually convenient time as agreed via email.
